General Terms and Conditions of ServicesLast updated: 05 July 2025These general terms and conditions govern all proposals and/or offers from NexaOps LTD and form an integral part of any agreement between NexaOps LTD (“NexaOps”, “we”, “us”, “our”) and the customer (“you”, “your”). These terms, together with any offer or order confirmation, constitute the full agreement.
1. Definitions- NexaOps LTD: A private limited company incorporated and registered in the United Kingdom.
- Service: Any service provided by NexaOps, pursuant to an agreement signed or confirmed by the customer.
- Intellectual Property Rights: Include (but are not limited to) copyrights, trade marks, patents, design rights, know-how, and related rights.
- Account: An interface provided to you by NexaOps for managing and configuring aspects of the services.
2. Agreement FormationAn agreement is formed when you:
- Place an order on our website.
- Create an account.
- Accept an offer provided by NexaOps.
Unless agreed otherwise, service agreements renew automatically on a monthly basis. Any updates to these terms will be communicated at least 30 days in advance, unless required by law or in your favour.
3. Account AccessYou are responsible for maintaining the security of your login credentials. NexaOps will not be liable for unauthorised access due to weak or compromised passwords.
4. Scope of ServiceNexaOps grants a limited, non-transferable, revocable licence to use our services, subject to the agreement. Some services may involve third-party tools and are also governed by their terms.
5. Your ResponsibilitiesYou must:
- Provide accurate and timely information.
- Ensure your data is up to date.
- Immediately report suspected account misuse.
You are fully responsible for the use of your account and any content hosted through our services.
6. Prices and Payments- Prices for UK consumers include VAT.
- Business prices are listed excluding VAT.
- NexaOps may adjust pricing with 30 days’ notice (except in cases of legal obligations or inflation).
Invoices are payable within 7 calendar days. Late payments may incur statutory interest and recovery fees under the UK’s Late Payment of Commercial Debts Regulations.
7. Servers and NodesDedicated server hardware remains under the control of NexaOps. For shared node services, you agree not to cause disruption or excessive load to the shared infrastructure.
8. Regulatory ComplianceNexaOps services may rely on the allocation of IP addresses or other regulated resources, which are subject to the terms of third-party bodies such as RIPE.
9. Service AvailabilityWe aim to provide 24/7 service availability but reserve the right to perform maintenance with reasonable notice, typically during off-peak hours (UK time).
10. Acceptable Use PolicyYou agree not to use our services to:
- Host or distribute harmful software.
- Violate intellectual property rights.
- Engage in illegal or abusive activity.
NexaOps reserves the right to suspend services in case of violation.
11. LiabilityNexaOps is only liable for direct losses caused by proven negligence, up to the value of your contract for the previous 12 months. We are not liable for indirect damages or data loss unless caused by willful misconduct or gross negligence.
12. Intellectual PropertyAll IP rights in the services remain with NexaOps or its licensors. IP in your data remains yours.
13. Data ProtectionWe comply with the UK GDPR and Data Protection Act 2018. You are responsible for obtaining necessary consents for data you process using our services. A Data Processing Agreement will be provided upon request.
14. TerminationYou may cancel any monthly-renewing contract with 30 days’ notice. NexaOps may suspend or terminate services for non-payment, legal breaches, or abuse.
15. Final ProvisionsIf any clause is found unenforceable, the remaining clauses will continue to apply. This contract is governed by the laws of England and Wales. Disputes shall be resolved by the courts of London unless otherwise required by law.
